What does 'Place of Effective Management' (POEM) mean?

Place of Effective Management, usually shortened to POEM, refers to where the key management and commercial decisions needed to run a company's business as a whole are actually made in substance — not where the company happens to be incorporated or registered on paper. Under UAE corporate tax, POEM is one of the tests used to decide whether a foreign-incorporated company is a UAE tax resident: if its real decision-making — board meetings, senior management direction, strategic calls — genuinely happens inside the UAE, it can be treated as UAE tax resident regardless of where its certificate of incorporation was issued.

This matters because tax residency through POEM brings a company's entire worldwide income into the UAE tax net, unlike a Permanent Establishment, which only taxes the income tied to the UAE presence. A foreign holding company nominally registered abroad, but whose owner runs all real decisions from a UAE office, could find itself treated as UAE tax resident on this basis.
