Free zone or offshore company in the UAE — which one actually fits what I want to do?
I want to set up a company in the UAE — should I go free zone or offshore, and what actually differs between them?
Business owners often assume the choice between a free zone and an offshore company is just about cost or setup speed. It isn't. These are two fundamentally different structures built for different purposes, and getting this wrong upfront usually means an expensive restructuring later.
A free zone company is a real operating licence. You take physical premises or a desk inside the free zone, you can invoice clients and sign contracts under the company's name, and you can sponsor residence visas for yourself and your staff. You can trade freely internationally and within the free zone; reaching the local UAE mainland market typically needs an extra arrangement, such as a local distributor or a dual licence, depending on your activity.
An offshore company (such as a RAK ICC or JAFZA Offshore entity) is the opposite. It has no operating licence inside the country, cannot lease physical office space in its own name or carry out commercial activity within the UAE, and cannot sponsor visas. Its role is to act as a holding vehicle — owning shares in other companies, holding property, or structuring international trade between parties who are all outside the UAE.
The question that actually decides your choice is simple: do you need to deal with clients or staff inside the UAE, and do you need visas? Then a free zone is the right path. If your goal is asset protection, holding ownership in other entities, or structuring international trade with no actual activity inside the country, offshore is the more suitable and more economical route.
