Late registration carries a fixed, one-time administrative penalty of AED 10,000 — it does not increase or compound over time — regardless of the company's size or activity, the moment your assigned deadline is passed. This penalty is entirely separate from any tax actually owed — meaning you can still be fined even if it turns out no tax is due at all, because of an exemption.

The common mistake: owners delaying registration on the assumption that a small or loss-making company is somehow exempt from the deadline itself. The right move is to register the moment you discover the delay — and there's a waiver route for this exact penalty: filing the company's first corporate tax return within 7 months of the end of its first tax period (instead of the usual 9-month deadline) qualifies for the penalty to be waived or refunded.
